Terms of Service

"Vorantiq" is an Enterprise Autonomous AI Operating Infrastructure platform that enables orchestration of AI agents, workflow automation, and autonomous operations across multiple large language model providers. The "Service" includes the cloud platform, APIs, SDKs, developer tools, documentation, and all associated components made available by Vorantiq.

These Terms are governed by the laws of the Kingdom of Saudi Arabia, including the E-Commerce Law (Royal Decree No. M/126), the Personal Data Protection Law (PDPL), and the Anti-Cybercrime Law. Users in the European Union have additional rights under the General Data Protection Regulation (GDPR). Users in California have additional rights under the CCPA.

To use the Service, you must be at least eighteen (18) years of age and have the legal capacity to enter into binding contracts under the laws applicable in your jurisdiction. By creating an account, you represent and warrant that you meet these eligibility requirements.

• Provide accurate, current, and complete information during registration
• Maintain the confidentiality of your login credentials and not share them with third parties
• Notify us immediately upon suspecting any unauthorized access to your account
• Keep your account information current and accurate at all times
• Accept full responsibility for all activities that occur under your account

The Service is offered under tiered subscription plans. Subscriptions automatically renew unless cancelled before the end of the current billing period. Payments are processed by Paddle as our Merchant of Record. By subscribing, you also agree to Paddle's terms of service and acknowledge that Paddle is responsible for collecting payment and remitting applicable taxes.

• All payments are processed in United States Dollars (USD) unless otherwise specified
• Applicable sales taxes are automatically calculated based on your billing location
• Renewal notices are sent 30 days before the renewal date for annual plans
• If payment fails, service is temporarily suspended with a 7-day grace period to resolve
• Price changes take effect at the next billing cycle with 30 days prior notice

You agree not to use the Service in any manner that violates these Terms, applicable law, or the rights of others. Without limiting the foregoing, you specifically agree not to:

• Use the Service for any unlawful purpose or in violation of Saudi or international regulations
• Attempt unauthorized access to our systems, networks, or other users' data
• Create excessive load on our infrastructure or circumvent established rate limits
• Resell or sublicense the Service without prior written authorization from Vorantiq
• Infringe any intellectual property rights of Vorantiq or any third party
• Transmit malware, viruses, or any other malicious code through the Service
• Use the Service to generate content that is harmful, abusive, or illegal

We reserve the right to immediately suspend or terminate any account that violates this policy, and to report illegal activities to the appropriate authorities where required.

Your API access is governed by rate limits defined by your subscription tier. Current limits are defined as follows:

Exceeding these limits requires upgrading to a higher plan or purchasing additional volume. We reserve the right to temporarily throttle access when abnormal usage patterns are detected that may impact service stability for other users.

Vorantiq owns all intellectual property rights in the Service, including but not limited to source code, algorithms, designs, trademarks, and content. These Terms grant you a limited, non-exclusive, non-transferable license to access and use the Service solely in accordance with these Terms — not ownership of any part of it.

You retain ownership of all data and content you upload or input into the Service ("User Data"). You grant us a limited license to process User Data solely to the extent necessary to provide the Service to you, as further described in our Privacy Policy.

We target 99.9% monthly uptime for Professional, Business, and Enterprise plans. Uptime is calculated excluding pre-announced scheduled maintenance windows and events beyond our reasonable control (force majeure).

• Scheduled maintenance is announced at least 48 hours in advance
• Critical incident response time is 1-4 hours for Enterprise plan customers
• Service interruptions are documented at status.vorantiq.dev
• Eligible customers may apply for service credits per the Enterprise SLA policy

Your use of the Service is also governed by our Privacy Policy, which is incorporated by reference into these Terms. By accepting these Terms, you acknowledge that you have read, understood, and agree to the Privacy Policy. We operate as a data processor under the Saudi PDPL and EU GDPR, and adhere to the data processing principles set forth therein.

For Enterprise customers processing personal data of EU individuals, a separate Data Processing Agreement (DPA) is available upon request. Contact privacy@vorantiq.dev for our standard DPA.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VORANTIQ'S TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE INCIDENT. IN NO EVENT WILL WE BE LIABLE FOR INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES.

You agree to indemnify, defend, and hold harmless Vorantiq, its directors, employees, and agents from and against any claims, damages, obligations, losses, costs, or expenses (including reasonable attorney's fees) arising from: (a) your violation of these Terms; (b) your use of the Service in a manner contrary to applicable law; or (c) your infringement of any third-party rights.

You may cancel your subscription at any time through your account settings or by contacting support. We may suspend or terminate your access if: (a) you violate these Terms; (b) subscription fees remain unpaid; or (c) we receive orders from competent regulatory or judicial authorities. Upon termination, your data will be retained for 30 days before permanent deletion, unless legal retention obligations apply.

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. In the event of any dispute, the parties shall first attempt good-faith resolution within 30 days of written notice. If unsuccessful, the dispute shall be referred to binding arbitration under the Saudi Center for Commercial Arbitration rules, conducted in both Arabic and English.

For EU users: These Terms do not affect your statutory rights under EU law, including consumer protection rights under the EU Consumer Directive.

We reserve the right to modify these Terms at any time. We will notify you of material changes via email and/or a prominent notice within the platform at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to material changes, you may terminate your subscription before the effective date and receive a pro-rated refund.

Vorantiq shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, wars, governmental actions, or disruptions to digital infrastructure, internet networks, or power providers.
